2025 NDA Form — Please note that each team member must sign and acknowledge this NDA individually, resulting in as many signed forms as there are members of the team. Please submit the NDA form as soon as possible to give your team the maximum amount of time to prepare your submission. We will continue to accept NDA form submissions until February 15, 2025.

Wharton People Analytics (WPA) has agreed to provide me with data from SkillUp for use in the 2025 Case Competition ("Data") subject to my agreement to the following terms and conditions.

All Data provided to me by WPA is SkillUp's confidential and proprietary information, and SkillUp shall retain ownership of all Data provided hereunder.

I will: a. Maintain the Data in confidence, taking all necessary and appropriate steps to safeguard the Data from disclosure or unauthorized use; b. Not discuss the Data with or disclose the Data to any person other than members of my team or representatives of the Wharton People's Analytics with a need to know to facilitate my participation in the Competition.

Violation of any of my obligations of confidentiality as set forth in this Agreement may cause irreparable harm to SkillUp, for which SkillUp may have no adequate remedy at law; therefore SkillUp shall be entitled, in addition to all other rights, to seek to enforce such obligations by appropriate injunctive relief.

SkillUp represents that it has the right to provide me with access to the Data for use in the Competition. With the exception of the representation set forth in this Paragraph 5, the Data is being provided "As Is" without any warranties of any kind, express or implied.

This Agreement shall be effective as of the last date of signature below and shall continue until the conclusion of the Competition. Upon conclusion of the Competition, I agree to delete or otherwise destroy all copies of the Data, and any notes related thereto, from my computer, e-mail, and all other paper and electronic files.

Nothing in this Agreement shall preclude me from publicly disclosing my participation in the Competition.

This Agreement embodies the entire understanding between the parties relating to the subject matter hereof and supersedes all prior understandings and agreements, whether written or oral. This Agreement may not be varied except by a written document signed by both parties.

This Agreement may be executed in counterparts, each of which will be deemed an original, and all of which together will be deemed to be one and the same instrument. A portable document format (PDF) or electronic copy of this Agreement, including the signature pages, will be deemed an original.
